1. Agreement
This End-user License Agreement governs your access to and use of the LRGTax QuickBooks connection and related web pages, referred to as the App. By using the App or authorizing a QuickBooks connection, you agree to these terms.
The App is provided by LRGTax for current and prospective clients who authorize LRGTax to review QuickBooks Online information for tax preparation, tax planning, bookkeeping review, and related professional services.
2. QuickBooks authorization
When you connect QuickBooks, you authorize LRGTax to access the QuickBooks Online company information made available through Intuit APIs and permitted scopes. LRGTax uses that information only for the services you request or authorize.
You are responsible for ensuring that you have authority to connect the QuickBooks company and share its information with LRGTax.
3. Client responsibilities
You are responsible for providing accurate, complete, and current information, including QuickBooks records, tax documents, and business records. LRGTax may rely on the information you provide or authorize us to access.
The App does not replace your responsibility to review tax filings, financial statements, and service deliverables before approving them.
4. Permitted use
You may use the App only for lawful business or tax service purposes with LRGTax. You may not misuse the App, attempt unauthorized access, interfere with its operation, or use it to transmit unlawful or harmful content.
The App is not a standalone consumer tax product and does not submit tax returns or make tax elections without the separate review and authorization required for LRGTax services.
5. Privacy and confidential information
LRGTax handles information collected through the App as described in the LRGTax Privacy Policy. QuickBooks data, tax records, and client business information are treated as confidential and used to provide authorized services.
You should not share Intuit account credentials with LRGTax. Authentication is handled by Intuit through its secure authorization flow.
6. Third-party services
QuickBooks, Intuit, and related services are third-party products governed by their own terms and policies. LRGTax is not Intuit and does not control Intuit services, availability, security, or account access.
QuickBooks and Intuit names are used only to identify the third-party service that may be connected to LRGTax.
7. Fees and professional services
Fees for tax preparation, tax planning, bookkeeping review, or related professional services are governed by a separate engagement, invoice, written agreement, or service arrangement with LRGTax.
Use of the App does not create a professional engagement unless LRGTax separately accepts the engagement.
8. Disclaimer
The App is provided as a client service support tool. To the fullest extent permitted by law, LRGTax disclaims warranties that the App will be uninterrupted, error-free, or meet every business need.
LRGTax does not guarantee a specific tax outcome, refund amount, audit result, or agency decision.
9. Limitation of liability
To the fullest extent permitted by law, LRGTax will not be liable for indirect, incidental, consequential, special, or punitive damages arising from use of the App.
Nothing in this Agreement limits liability that cannot be limited under applicable law or changes duties created by a separate signed professional services agreement.
10. Disconnection and termination
You may disconnect QuickBooks access at any time through your Intuit account or by contacting LRGTax for assistance. LRGTax may suspend or stop App access if it is no longer needed, if an engagement ends, or if continued access presents a security, legal, or operational concern.
Disconnection does not require LRGTax to delete records that must be retained for tax, accounting, legal, compliance, or legitimate business purposes.
11. Governing law
This Agreement is governed by the laws of the State of California, without regard to conflict of law rules, unless a separate written agreement with LRGTax states otherwise.
